1. Background to these Candidate Terms



1.1 Please read

    These Candidate Terms must be read carefully and understood before using the Talent Services.


1.2 Legally binding

    These Candidate Terms are a legally binding agreement between you and Dex.


1.3 Acceptance

    By accessing the Platform and using the Talent Services (including by linking your LinkedIn profile), you agree to comply with these Candidate Terms. If you do not accept them, you are not permitted to use the Talent Services.


1.4 Candidates only

    These Candidate Terms apply only to candidate-facing portions of the Platform. Employers and recruiters are subject to separate Business Terms.


1.5 Age requirement

    The Talent Services are intended for individuals over 18.




2. Definitions


Capitalised words have the meanings set out below.


2.1 “Account” – the account you create to use the Talent Services.

2.2 “Business Terms” – Dex’s Terms for Employers.

2.3 “Candidate Terms” – these terms of use.

2.4 “Employer” – an employer, or potential employer, using the Talent Services.

2.5 “Introduction” – sharing your information with an Employer.

2.6 “Platform” – the website (meetdex.ai), mobile app, and other interfaces owned by Dex.

2.7 “Talent Services” – Dex’s services and AI tools, including:

    (a) facilitating conversations,

    (b) analysing Account information,

    (c) matching candidates with opportunities,

    (d) making Introductions to Employers,

    (e) providing career coaching and support.

2.8 “Your Content” – information you provide (LinkedIn profile, CV, name, contact details, work/education history, skills, interests).

4. How do the Talent Services work?



4.1 Talent Services – Dex uses AI to match candidates with job opportunities. Currently free; paid features may be introduced in future with notice.

4.2 Account – You may create an Account by linking LinkedIn, uploading your CV, or answering questions.

4.3 Conversation – You may schedule a call with Dex’s AI tool to discuss highlights, ambitions, and interests. Calls are recorded and transcribed.

4.4 Data analysis – Dex analyses your information to match you with suitable opportunities.

4.5 Introductions – If you express interest and there is a match, Dex introduces you to the Employer.

4.6 Deleting Account – You may delete your Account at any time by following Platform instructions.

5. Your Obligations



5.1 Accurate Information – Provide complete and truthful details.

5.2 No Harmful Material – Do not upload viruses or malicious code.

5.3 Keep Details Confidential – Keep any user ID, password, or login credentials secure.

5.4 Unauthorised Use – Notify Dex immediately if you suspect misuse of your Account.

5.5 No Interference – Do not disrupt servers, networks, or Platform operation.

5.6 Other Restrictions – You must not:

    (a) breach any laws or regulations;

    (b) use the services unlawfully or fraudulently;

    (c) bully, insult, intimidate, or humiliate others;

    (d) impersonate another person;

    (e) defame or harass others;

    (f) act in an obscene, offensive, hateful, or inflammatory way;

    (g) infringe intellectual property rights;

    (h) send spam or unauthorised promotions;

    (i) build a competing product/service;

    (j) reverse-engineer or distribute Dex’s software;

    (k) access restricted areas without authorisation;

    (l) resell or export Dex’s software;

    (m) scrape, harvest, or otherwise misuse Platform data.




6. Our Right to Make Changes



6.1 Platform/Talent Services – We may update or modify features to reflect user needs or business priorities. Reasonable notice will be given for major changes.

6.2 Candidate Terms – We may update these terms. If materially adverse to you, you will be notified.

6.3 Discontinuation – Dex may suspend or discontinue the Platform or Talent Services at any time.




7. Privacy Policy



7.1 The Privacy Policy explains how Dex processes your personal data.

7.2 Use of Talent Services requires such processing.




8. Intellectual Property



8.1 Ownership – Dex (or licensors) owns the Platform and Talent Services.

8.2 Licence by Us – Subject to compliance with these Candidate Terms, Dex grants you a licence that is:

    (a) personal and non-commercial,

    (b) non-transferable,

    (c) non-exclusive,

    (d) revocable,

    (e) limited in scope.

8.3 Termination of Licence – Any unauthorised use terminates your licence immediately.

8.4 Licence to Your Content – You retain ownership but grant Dex rights to use, store, copy, and improve services with it (including training AI).

8.5 Marks Reserved – Trademarks, logos, and service marks displayed belong to Dex or third parties and cannot be used without prior consent.




9. Our Liability



9.1 Foreseeable Loss Only – Dex is responsible only for foreseeable direct loss or damage caused by its breach. Not liable for indirect or consequential losses.

9.2 What We Do Not Exclude – Liability remains for:

    (a) death or personal injury by negligence,

    (b) fraud or misrepresentation,

    (c) any other liability not excludable under English law.

9.3 Business Losses – Dex is not liable for profit loss, business interruption, or loss of opportunity.

9.4 Events Outside Our Control – Dex is not liable for Force Majeure events (e.g., natural disasters, accidents).

9.5 “As Is” Provision – The Platform and Talent Services are provided on an “as is” basis with no implied warranties beyond what law requires.




10. General



10.1 Disputes – Governed by English law; jurisdiction of the courts of England and Wales.

10.2 Third-Party Rights – No other person may enforce these Candidate Terms.

10.3 Headings/Interpretation – Headings are for convenience only; “including” means “including without limitation.”

10.4 Delay in Enforcement – A delay in enforcement does not waive Dex’s rights.

10.5 Severability – If one clause is unlawful, the rest remain valid.

10.6 Transfer – Dex may transfer rights/obligations to another organisation.

10.7 Personal Agreement – You cannot transfer your rights without Dex’s prior consent.

10.8 “In Writing” – References to “in writing” include emails.
