Candidate Terms

We are Dex and we are excited to help you find great job opportunities using our AI-powered career coaching and recruitment tools. These Candidate Terms set out how We work with you when you use Our Talent Services to shape you career and find job opportunities.

  1. Background to these Candidate Terms 

    1. Please read these Candidate Terms carefully. Please review these Candidate Terms carefully and make sure that you understand them before using the Talent Services.

    2. Legally binding. These Candidate Terms are a legally binding agreement between you and Dex.

    3. Acceptance. By accessing this Platform and using the Talent Services (including by linking your LinkedIn profile), you agree to comply with these Candidate Terms. If you do not accept these Candidate Terms, you are not permitted to use the Talent Services. 

    4. Candidates only. These Candidate Terms apply only to candidate-facing portions of the Platform and are only for candidates who wish to be connected with job opportunities. If you are an employer or a recruiter, the use of the Talent Services is governed by separate Business Terms.

    5. You must be over 18. The Talent Services are intended to be used by individuals over the age of 18. If you are younger than 18, you should not use the Talent Services.

  2. Definitions

Capitalised words in these Candidate Terms have the meaning outlined either in this Section 2 or in the sentence where that term is defined. You will be able to spot definitions by looking out for terms that look like this: (“Defined Term”). 

  1. Account” means the account for the use of the Talent Services that you create using the Platform.

  2. Business Terms” means Dex’s Terms for Finding Your Next Great Hire or any other terms that apply to the use of the Talent Services by Employers. 

  3. Candidate Terms” means the terms of use set out on this page.

  4. Employer” means an employer, or potential employer, using the Talent Services to find candidates for their job opportunities.

  5. Introduction” means sharing your information with an Employer.

  6. Platform” means the website hosted meetdex.ai (including its subdomains), Our mobile app, and any other associated interfaces, applications, websites and mobiles apps owned or operated by or for Dex from time to time.

  7. Talent Services” means Our services and AI tools, software and content made available to you, including by facilitating, recording and transcribing AI-enabled conversations, analysing Account information, Your Content and other data provided to Dex, matching candidates with job opportunities, communicating with you about job opportunities, making Introductions to Employers, and providing career coaching, other talent services and associated support.

  8. Your Content” means any information, content or materials that you provide, or that is provided on your behalf, to Us while using the Platform and/or the Talent Services, including information from your LinkedIn profile and/or CV such as your name, contact details, photo, work and education experience, skills and interests.

  9. Information about Dex and Our contact details 

    1. Who We are. We are Dex Talent Ltd, a company incorporated in England and Wales with company number 16276853 and registered office at Aston House, Cornwall Avenue, London, United Kingdom, N3 1LF (“Dex”, “We”, “Our”, “Us”).

    3. How We may contact you. We may contact you by email to the address you provided to Dex. 

  10. How do the Talent Services work? 

    1. Talent Services. We operate the Talent Services using the Platform to match candidates like you with job opportunities from Employers. We use artificial intelligence (AI) to provide the Talent Services. We currently do not charge candidates like you for using the Talent Services. However, we may introduce fees or paid features for the Talent Services in the future in which case we will notify you in advance.

    2. Account. You can create an Account by linking your LinkedIn account via our Platform. Alternatively, We may also provide you with other means of creating and/or updating an Account, for example, by uploading your CV and/or answering some questions.

    3. Conversation. After you create an Account, you can schedule a call with Dex’s AI tool to discuss your career highlights, ambitions and interests. We will record and transcribe the call. We may also provide you with other means to provide this information to Us, including through chat or email.

    4. Data analysis. We will analyse the information that you make available to Us through your Account and your use of the Talent Services to match you with job opportunities from Employers. 

    5. Introductions. If you tell us that you are interested in a role at a specific Employer and We find a match, We will make an Introduction to the Employer. We will also provide you with information about the Employer.

    6. Deleting Account. You can delete your Account at any time for any reason by following the Account deletion instructions on the Platform.

    7. More information. The Platform provides more information about the Talent Services and how Dex works. The Privacy Policy includes more information about how Dex processes your personal data.

  11. Your obligations

    1. Accurate information. Your Content must be accurate and up-to-date. You must not provide Your Content to Us which is incomplete or misleading, for example, by including information on your LinkedIn profile or CV which is fabricated or untrue.

    2. No harmful material. Your Content must not contain viruses, Trojan horses, worms or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with the Platform and/or the Talent Services.

    3. Keep Your details confidential. If you choose, or are provided with, a user identification code, password or any other piece of information as part of our security procedures, you agree to keep it confidential, not to disclose it to any other person, and not to permit any other person to log in to the Platform using and/or use the Talent Services using such information.

    4. Unauthorised use of your Account. You should notify us immediately if you suspect or become aware of any unauthorised use of your Account or any other breach of its security.

    5. No interference. You agree not to interfere with the servers or networks connected to the Platform and/or the Talent Service or to violate any of the procedures, policies or regulations of networks connected to the Platform, including these Candidate Terms.

    6. Other restrictions. You agree not to:

      1. breach any local, national or international laws or regulations when using the Platform and/or the Talent Services;

      2. use the Platform and/or the Talent Services in any way which is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;

      3. bully, insult, intimidate or humiliate any person when using the Platform and/or the Talent Services;

      4. impersonate any other person while using the Platform and/or the Talent Services;

      5. be defamatory of any person when using the Platform and/or the Talent Services;

      6. be obscene, offensive, hateful or inflammatory, or conduct yourself in a vulgar or objectionable matter, when using the Platform and/or the Talent Services;

      7. infringe any copyright, database right or trade of any other person when using the Platform and/or the Talent Services or providing Your Content to Us;

      8. use the Platform and/or the Talent Services to generate unsolicited or unauthorised advertisements, promotional material or spam;

      9. use the Platform and/or the Talent Services to create a product or a service which competes with the Platform and/or the Talent Services;

      10. attempt to reverse engineer or sell, export, license, modify, copy, distribute or transmit the Platform to any third party, or jeopardise the correct functioning of the Platform and/or the Talent Services, or otherwise attempt to derive the source code of the software (including the tools, methods, processes and infrastructure) that enables or underlies the Platform and/or the Talent Services;

      11. attempt to gain access to secured portions of the Platform to which you do not have access rights;

      12. resell or export the software associated with the Platform and/or the Talent Services; or

      13. use any automatic or manual process to search or harvest information from the Platform, or to interfere in any way with the proper functioning of the Platform and/or the Talent Services.

  1. Our right to makes changes 

    1. Changes to the Platform and/or the Talent Services. From to time to time, We may make changes to the Platform and/or the Talent Services to reflect our users' needs, our business priorities and the developing nature of the Talent Services. We will try to give you reasonable notice of any major changes.

    2. Changes to these Candidate Terms. From to time to time, We may also make changes to these Candidate Terms. If We do so, We will:

  1. post those changes in an updated version of these Candidate Terms on the Platform; and 

  2. where We consider the changes will materially or adversely affect you or your rights, We will notify you of such changes.

  3. Our right to discontinue the Platform and/or the Talent Services. We may change or discontinue the availability of the Platform and/or the Talent Services and at any time without prior notice to you. 

  4. Privacy Policy 

The Privacy Policy describes how We use your personal data when providing the Platform and the Talent Services. Provision of the Talent Services requires the use and disclosure of your ‘personal data’ as described in the Privacy Policy and we would not be able to provide the Talent Services without it. 

  1. Intellectual Property

    1. Ownership of Platform and Talent Services. Dex and/or its licensor(s) are the sole owners of the Platform and the Talent Services.

    2. Licence by Us. Subject to these Candidate Terms (in particular, your obligations outlined in Section 5), Dex grants you a licence to use and access the Platform and the Talent Services on the basis that this licence is: 

  1. not a commercial licence – You can only access and use the Platform and the Talent Services for your own personal, non-commercial uses (i.e., not for your business);

  2. non-transferable – You can’t pass this right to someone else;

  3. non-exclusive – other people can access and use the Platform and the Talent Services;

  4. revocable – We have the right to remove your ability to use the Platform and the Talent Services; and

  5. limited – the licence does not extend beyond what has just been described above.

  6. Termination of Our licence. Any unauthorised use of the Platform and/or the Talent Services will result in the automatic termination of the limited licence granted by Us under Section 8.2. Dex reserves the right to terminate the limited license without notice at any time following an unauthorised use by you of the Platform and/or the Talent Services.

  7. Licence to Your Content. When using the Platform and/or the Talent Services, you may provide Your Content. As between Dex and you, you retain ownership in Your Content, but you grant Us a licence to use, store and copy Your Content to provide the Platform and the Talent Services. You agree that we may use Your Content to improve the Platform and/or the Talent Services, including by training AI models on Your Content.

  8. Marks in rights reserved. All trade marks, logos, trade dress, service names and service marks (“Marks”) displayed on the Platform and/or through the Talent Service are Dex’s property or the property of other third parties. You are not permitted to use these Marks without Dex’s prior written consent or the consent of such third party that may own the relevant Marks.

  9. Our liability

    1. We are responsible to you only for foreseeable loss and damage caused by Us which is a direct result of our actions. If We fail to comply with these Candidate Terms, We are only responsible to You for loss or damage that is a direct result of Our breaching these Candidate Terms or failing to act with reasonable care and skill. We are not responsible for any loss or damage that is not a foreseeable result of Our breaching these Candidate Terms or failing to act with reasonable care and skill. Loss or damage is foreseeable if it is either obvious that it will happen or if, at the time these Candidate Terms are entered into, both We and you knew it might happen. We are not responsible for any indirect or consequential loss or damage that You suffer.

    2. What We do not exclude. Nothing in these Candidate Terms shall limit or exclude Our liability for:

      1. death or personal injury resulting from Our negligence;

      2. fraud or fraudulent misrepresentation; or

      3. any other liability that cannot be excluded or limited by English law.

    3. We are not liable for business losses. This Platform and the Talent Services are for private use by individuals only. Unless otherwise agreed with you in writing, if you use the Platform and/or the Talent Services for any commercial, business or resale purpose We will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

    4. We are not liable for events outside Our control. We will not be liable or responsible for any failure to perform, or delay in performance of, any of Our obligations caused by events outside Our reasonable control (“Force Majeure Event”). A Force Majeure Event includes any act, event, non-happening, omission accident or act of God beyond Our reasonable control. Our performance of Our obligations under these Candidate Terms is deemed to be suspended for the period that the Force Majeure Event continues, and We will have an extension of time for performance for the duration of that period. We will use Our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which Our obligations under these Candidate Terms may be performed despite the Force Majeure Event.

    5. Platform and Talent Services are provided “as is”. We provide the Platform and the Talent Services “as is”. To the fullest extent that We are permitted to do so under applicable law, We disclaim any implied terms as to title, merchantability, fitness for a particular purpose and non-infringement.

  10. General

    1. Disputes. These Candidate Terms are governed by English law. Disputes arising in connection with these Candidate Terms are subject to the non-exclusive jurisdiction of the courts of England and Wales.

    2. Nobody else has any rights under these Candidate Terms. All aspects of the agreement formed under these Candidate Terms are between you and Dex. No other person shall have any rights to enforce any of these Candidate Terms.

    3. Headings and interpretation. The headings and section titles in these Candidate Terms are for convenience only and have no legal or contractual effect. The word “including” means “including without limitation”. 

    4. Even if We delay enforcing Our rights under these Candidate Terms, We can still enforce them later. If We do not insist immediately that you do anything you are required to do under these Candidate Terms, or if We delay taking steps against you in respect of your breaking these Candidate Terms, that will not mean that you do not have to do those things and it will not prevent Us taking steps against You at a later date.

    5. If a court finds part of these Candidate Terms illegal or invalid, the rest will continue in force. Each of the sections of these Candidate Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining sections will remain in full force and effect.

    6. We may transfer Our rights under these Candidate Terms to someone else. Dex may transfer its rights and obligations under these Candidate Terms to another organisation. For example, this could include another member of Dex’s group of companies or someone who buys its business.

    7. Personal agreement. The agreement formed under these Candidate Terms is personal to you and you cannot transfer any of your rights under them to any other person without Our prior express written consent. 

    8. Email counts as “in writing”. When We use the words “writing” or “written” in these Candidate Terms, this includes emails.
